TRAVELER AGREEMENT, PAYMENT TERMS & ACKNOWLEDGMENT OF RISK

PLEASE READ THIS AGREEMENT CAREFULLY BEFORE SUBMITTING YOUR DEPOSIT.

This Traveler Agreement (“Agreement”) sets forth the terms and conditions governing participation in the Les Bois Wines — Quête Secondaire: Dispatch 1, Slovenia 2027 travel experience (“Trip”).

By submitting a deposit, making any subsequent Trip payment, electronically accepting this Agreement, or participating in the Trip, the traveler identified below (“Traveler”) acknowledges that Traveler has read, understands, and agrees to these terms.

1. TRIP ORGANIZER

The Trip is organized by:

For purposes of this Agreement, “Les Bois,” “Organizer,” “we,” “us,” and “our” refer to the legal entity identified above.

2. TRIP DESCRIPTION

Quête Secondaire: Dispatch 1 is a small-group culinary, wine, and cultural travel experience in Slovenia anticipated to take place during June 2027.

The Trip is expected to include approximately six full days of programmed travel, with return to Ljubljana on the following morning or around midday.

Depending upon final enrollment, Les Bois currently anticipates operating multiple Trip departures over approximately three weeks in June 2027.

Each traveling group is intended to contain approximately twelve (12) Travelers or fewer, although group sizes may vary slightly based upon enrollment, lodging, transportation, availability, or other operational considerations.

The total number of Travelers accepted across all departures will not exceed approximately thirty-six (36) unless Les Bois and the affected Travelers agree otherwise.

3. TRIP DATES AND GROUP ASSIGNMENT

Specific departure dates have not yet been finalized.

Following receipt of deposits, Travelers will be given an opportunity to provide:

  • preferred travel week or departure date;

  • alternate acceptable dates;

  • dates the Traveler cannot attend;

  • names of traveling companions;

  • rooming preferences; and

  • other relevant scheduling information.

Les Bois will make reasonable efforts to accommodate Traveler preferences but cannot guarantee any requested departure date or group assignment.

Final departure dates and group assignments will be communicated after sufficient deposits and scheduling information have been received.

Travelers should not purchase nonrefundable airfare or other transportation based upon an anticipated Trip date until Les Bois has confirmed the Traveler’s departure in writing.

If Les Bois is unable to offer the Traveler a departure date reasonably consistent with the availability information supplied by the Traveler, the Traveler may elect either:

  1. an alternative available departure acceptable to the Traveler; or

  2. a refund of amounts paid to Les Bois for the Trip.

4. TRIP PRICE

The total Trip price is:

$5,777 per Traveler

Unless otherwise stated in writing, the Trip price is based upon the lodging and rooming assumptions communicated by Les Bois.

Any optional upgrades, private-room supplements, additional nights, independent transportation, or other services requested by a Traveler may require additional payment.

5. PAYMENT SCHEDULE

The anticipated payment schedule is:

Initial Deposit

$777 per Traveler
Due at registration.

Second Payment

$2,000 per Traveler
Due in January 2027, on a specific date to be announced.

Third Payment

$1,500 per Traveler
Due in March 2027, on a specific date to be announced.

Final Payment

$1,500 per Traveler
Due in May 2027, on a specific date to be announced.

Total: $5,777 per Traveler

Les Bois will provide Travelers with the specific calendar due dates before each installment becomes due.

Failure to make a required payment by the stated deadline may result in cancellation of the Traveler’s reservation after reasonable notice and an opportunity to cure the missed payment.

Amounts previously paid will then be subject to the cancellation provisions of this Agreement.

Les Bois may, in its discretion, approve a modified payment schedule in writing.

6. WHAT IS INCLUDED

The Trip price is anticipated to include substantially all of the following during the official Trip period:

  • accommodations selected by Les Bois;

  • ground transportation included in the published Trip itinerary;

  • organized meals identified as included by Les Bois;

  • winery visits and scheduled tastings;

  • culinary and cultural experiences;

  • organized tours and activities;

  • admissions associated with included activities;

  • guides, hosts, or other providers arranged by Les Bois; and

  • other programmed experiences described in Trip communications.

Specific hotels, restaurants, wineries, producers, guides, activities, and experiences remain subject to availability and may change.

7. WHAT IS NOT INCLUDED

Unless Les Bois specifically states otherwise in writing, the Trip price does not include:

  • airfare to or from Slovenia or any other arrival/departure point;

  • transportation before the official beginning of the Trip or after the Trip concludes;

  • passport or visa costs;

  • travel insurance;

  • international medical insurance;

  • medical or evacuation expenses;

  • baggage fees;

  • personal shopping;

  • minibar charges;

  • laundry;

  • telephone or data charges;

  • independently purchased food or beverages;

  • activities undertaken during personal/free time;

  • optional upgrades;

  • transportation or lodging resulting from independent travel before or after the Trip;

  • expenses caused by flight cancellation or delay;

  • expenses caused by a Traveler’s late arrival, early departure, illness, or inability to participate; or

  • other personal expenses not specifically identified as included.

8. TRAVELER CANCELLATION AND REFUNDS

Because Les Bois will make advance commitments to hotels, restaurants, transportation providers, wineries, guides, and other vendors, the ability to refund payments decreases as the Trip approaches.

The following cancellation policy is intended to apply:

A. Initial Deposit Period

The $777 deposit reserves a Traveler’s place subject to final group assignment.

If a Traveler cancels prior to the January 2027 payment deadline, Les Bois will make reasonable efforts to replace that Traveler from the waiting list or another interested Traveler.

If the vacated place is successfully filled without financial loss to Les Bois, the deposit will be refunded, less:

  • nonrefundable payment-processing fees; and

  • any nonrecoverable Trip expenses already incurred specifically for that Traveler.

If the vacated place cannot reasonably be filled, the $777 deposit may be retained as nonrefundable.

B. Cancellation After January Payment but Before March 1, 2027

For cancellations received after the January payment has been made but before March 1, 2027:

  • the initial $777 deposit is nonrefundable; and

  • amounts paid above the deposit will be refundable to the extent they have not already been committed to or retained by Trip suppliers.

Les Bois will additionally make reasonable efforts to fill the Traveler’s place and may refund additional recoverable amounts if the replacement prevents Les Bois from sustaining the corresponding loss.

C. Cancellation March 1 Through April 30, 2027

For cancellations received from March 1 through April 30, 2027, the Traveler may receive a refund of up to 50% of amounts paid above the $777 deposit, subject to amounts actually recoverable by Les Bois.

The deposit remains nonrefundable.

If Les Bois successfully fills the cancelled place and avoids costs or losses that otherwise would have resulted from the cancellation, Les Bois may refund additional recoverable amounts in its discretion.

D. Cancellation On or After May 1, 2027

Beginning May 1, 2027, all Trip payments are nonrefundable, except:

  • where Les Bois is able to replace the Traveler and recover or avoid corresponding expenses;

  • where this Agreement specifically provides otherwise; or

  • where a refund is required by applicable law.

E. Replacement Travelers

A Traveler may request permission to transfer a reservation to another eligible Traveler.

Any transfer is subject to Les Bois’ prior written approval, supplier rules, rooming arrangements, transportation arrangements, administrative feasibility, and any costs resulting from the substitution.

Les Bois will make reasonable efforts to accommodate substitutions when practicable.

F. Refund Processing

Any refund owed under this Agreement may be reduced by:

  • nonrefundable transaction or payment-processing fees;

  • supplier penalties;

  • cancellation charges;

  • nonrecoverable reservations;

  • administrative costs specifically arising from a Traveler-requested change, where permitted by law; and

  • other amounts already irrevocably committed on behalf of the Traveler.

Les Bois will provide a reasonable explanation of material deductions upon request.

9. CANCELLATION OR MATERIAL CHANGE BY LES BOIS

Les Bois reserves the right to cancel a Trip departure if necessary because of insufficient enrollment, vendor failure, safety concerns, government restrictions, events beyond reasonable control, or other circumstances making operation of the Trip impracticable.

If Les Bois cancels a Traveler’s entire departure before the Trip begins and does not offer an alternative departure acceptable to the Traveler, Les Bois will refund amounts paid by the Traveler to Les Bois for the cancelled Trip, except to the extent otherwise permitted by law for amounts irretrievably lost due to extraordinary circumstances.

Les Bois is not responsible for independently purchased airfare, hotels, transportation, insurance, or other expenses incurred by a Traveler unless required by applicable law.

For this reason, Travelers are strongly encouraged not to purchase nonrefundable airfare until their departure dates are confirmed and to purchase appropriate travel insurance.

10. ITINERARY CHANGES AND SUBSTITUTIONS

The itinerary supplied to Travelers is an anticipated plan and is not a guarantee that every named restaurant, winery, hotel, activity, producer, destination, meal, or experience will occur exactly as described.

International travel requires flexibility.

Les Bois may reasonably modify the itinerary because of circumstances including:

  • winery or restaurant availability;

  • weather;

  • transportation conditions;

  • supplier cancellations;

  • harvest or agricultural conditions;

  • business closures;

  • road conditions;

  • governmental action;

  • local events;

  • health or safety considerations;

  • group needs; or

  • opportunities Les Bois reasonably believes will improve the Trip.

When reasonably possible, Les Bois will substitute an experience of comparable character or value.

Minor itinerary changes or substitutions do not entitle a Traveler to a refund.

If Les Bois makes a material change that substantially alters the fundamental nature of the Trip before departure, Les Bois will notify affected Travelers and provide whatever remedies are required under this Agreement or applicable law.

11. SMALL-GROUP NATURE OF THE TRIP

The Trip is intentionally designed as a small-group experience.

Travelers acknowledge that:

  • group sizes are expected to be approximately twelve people or fewer;

  • different departure groups may experience slightly different restaurants, wineries, activities, or timing;

  • exact Trip experiences therefore may vary between groups; and

  • reasonable differences between departures do not constitute a failure to provide the Trip.

12. LODGING AND ROOMING

Lodging will be selected and arranged by Les Bois.

The Trip price may assume shared or double occupancy.

Travelers will be asked to identify traveling companions and preferred roommates.

Les Bois will make reasonable efforts to honor rooming preferences but cannot guarantee every requested room arrangement.

Travelers requesting private accommodations may be required to pay an additional single-room supplement, subject to availability.

The amount of any single-room supplement will be disclosed before the Traveler becomes obligated to pay it.

13. PASSPORTS, ENTRY REQUIREMENTS AND TRAVEL DOCUMENTS

Each Traveler is solely responsible for obtaining and maintaining:

  • a valid passport;

  • any visa or travel authorization required for the Traveler’s nationality;

  • sufficient passport validity;

  • entry and transit documentation;

  • documentation required by airlines or border authorities; and

  • any other documentation legally required for international travel.

Les Bois may provide general reminders or information but is not responsible for determining an individual Traveler’s eligibility to enter Slovenia, Italy, the European Union, or any other jurisdiction.

A Traveler who is denied boarding or entry because of inadequate documentation is responsible for resulting costs and is not entitled to a refund except as otherwise provided in this Agreement.

14. TRAVEL INSURANCE

Travelers are strongly encouraged to purchase comprehensive travel insurance shortly after making their deposit.

Travelers should consider coverage for:

  • Trip cancellation;

  • Trip interruption;

  • emergency medical treatment abroad;

  • medical evacuation and repatriation;

  • flight delays and cancellations;

  • baggage loss or delay; and

  • other circumstances appropriate to the Traveler’s needs.

Les Bois does not provide travel insurance and does not guarantee that any particular event, cancellation, illness, or loss will be covered by a Traveler’s insurance policy.

Each Traveler is responsible for reviewing and understanding any policy purchased.

A Traveler’s decision not to purchase travel insurance does not expand Les Bois’ refund obligations under this Agreement.

15. HEALTH, FITNESS AND MOBILITY

This Trip may include:

  • substantial walking;

  • uneven pavement;

  • cobblestones;

  • stairs;

  • hills;

  • prolonged standing;

  • entry into vineyards, cellars, farms, historic buildings, and other locations that may not meet U.S. accessibility standards;

  • getting into and out of passenger vehicles;

  • outdoor activities; and

  • other ordinary physical demands associated with international travel.

Travelers are responsible for determining whether they are reasonably capable of participating.

Travelers should notify Les Bois in advance of any accessibility needs or limitations for which accommodation may reasonably be necessary.

Les Bois will make reasonable efforts to accommodate disclosed needs where practicable but cannot guarantee that all foreign venues, transportation providers, hotels, wineries, restaurants, or activities will be fully accessible.

16. MEDICAL CONDITIONS AND EMERGENCIES

Travelers are responsible for managing their own health, medications, and medical needs.

Each Traveler should carry sufficient medication in its original packaging and should consult an appropriate healthcare professional regarding international travel when warranted.

In the event of a medical emergency, Traveler authorizes Les Bois and its representatives, when reasonably necessary and when the Traveler is unable to act, to seek emergency medical assistance on the Traveler’s behalf.

The Traveler remains financially responsible for medical care, ambulance services, evacuation, transportation, medications, hospitalization, or other medical expenses.

17. FOOD ALLERGIES AND DIETARY RESTRICTIONS

Travelers will have an opportunity to disclose food allergies and dietary restrictions.

Les Bois will make reasonable efforts to communicate disclosed restrictions to restaurants, hotels, guides, and other food providers.

However, Les Bois cannot guarantee an allergen-free environment, particularly when traveling internationally and utilizing independent restaurants or producers.

Travelers with severe or life-threatening allergies remain responsible for taking appropriate precautions and carrying necessary medication.

18. ALCOHOL

Wine and other alcoholic beverages are expected to be a significant component of the Trip.

Travelers are never required to consume alcohol.

Each Traveler is responsible for personal decisions regarding alcohol consumption and agrees to drink responsibly.

Les Bois may decline to provide additional alcohol to, transport separately, remove from an activity, or take other reasonable action concerning any Traveler whose intoxication creates a safety issue or materially disrupts the group.

Travelers may not operate Trip vehicles while under the influence of alcohol or any impairing substance.

19. TRAVELER CONDUCT

Travelers agree to behave in a manner reasonably consistent with the safety, dignity, and enjoyment of the group.

Les Bois may remove a Traveler from an activity or, in serious circumstances, terminate a Traveler’s continued participation in the Trip because of conduct including:

  • violence or threats;

  • harassment;

  • discriminatory or abusive conduct directed at other Travelers, staff, vendors, or local residents;

  • dangerous behavior;

  • illegal activity;

  • severe intoxication or repeated disruptive intoxication;

  • intentional damage to property;

  • refusal to comply with reasonable safety instructions; or

  • behavior that materially interferes with the Trip or the rights of others.

If a Traveler is removed from the Trip because of serious misconduct, the Traveler is responsible for resulting transportation, lodging, and other expenses and may forfeit unused Trip services.

20. INDEPENDENT SUPPLIERS

Hotels, restaurants, transportation companies, wineries, guides, activity providers, and other suppliers may be independently owned and operated businesses that are not employees of Les Bois.

Les Bois acts in arranging and coordinating these services but does not directly control every action of independent suppliers.

21. ASSUMPTION OF ORDINARY TRAVEL RISKS

International travel involves inherent risks that cannot be completely eliminated.

These may include:

  • transportation accidents;

  • slips, trips, and falls;

  • uneven surfaces;

  • foodborne illness;

  • allergic reactions;

  • weather;

  • theft;

  • crime;

  • illness or communicable disease;

  • delayed or cancelled transportation;

  • political or governmental action;

  • activities involving animals;

  • hiking or walking through agricultural areas;

  • alcohol-related risks;

  • differing foreign safety standards; and

  • limited access to medical facilities.

Traveler voluntarily accepts the ordinary and inherent risks associated with participating in international travel and the planned activities.

Nothing in this Agreement is intended to waive liability that cannot lawfully be waived.

22. FORCE MAJEURE AND EVENTS BEYOND REASONABLE CONTROL

Events beyond the reasonable control of Les Bois may interfere with or prevent performance of part or all of the Trip.

Such events may include natural disasters, extreme weather, wildfire, epidemic or pandemic, war, terrorism, civil unrest, strikes, government orders, border closures, transportation disruptions, supplier insolvency, or similar extraordinary events.

If such an event occurs, Les Bois will make reasonable efforts to modify, postpone, substitute, or otherwise preserve the Trip where practicable.

Refunds, credits, postponements, or other remedies will depend upon the circumstances, amounts recoverable from suppliers, applicable insurance, and applicable law.

23. AIRFARE AND INDEPENDENT TRAVEL

Airfare is not included in the Trip price.

Travelers arrange and purchase their own flights.

Les Bois is not acting as the Traveler’s airline or air-ticket seller unless specifically stated otherwise in writing.

Travelers should allow sufficient time before the Trip begins for international flight delays and other disruptions.

A delayed or cancelled flight does not automatically entitle a Traveler to a Trip refund.

Les Bois will make reasonable efforts to assist a delayed Traveler in joining the group, but any additional transportation, lodging, or other costs are the Traveler’s responsibility unless otherwise agreed in writing.

24. PERSONAL PROPERTY

Travelers remain responsible for passports, money, wine purchases, electronics, baggage, and other personal property.

Les Bois is not responsible for lost, stolen, forgotten, confiscated, or damaged personal property except to the extent liability cannot legally be excluded.

Travelers are responsible for complying with customs, airline baggage, alcohol-importation, and other laws applicable to purchases made abroad.

25. PHOTOGRAPHY AND MEDIA

During the Trip, Les Bois may photograph or record group activities for documentation, social media, advertising, or promotional purposes.

26. COMMUNICATIONS

Travelers agree to provide accurate email and contact information and to monitor Trip communications.

Important notices regarding:

  • payments;

  • departure assignments;

  • itinerary changes;

  • travel documents;

  • meeting locations;

  • deadlines; and

  • other Trip requirements

may be delivered electronically.

A Traveler should promptly notify Les Bois of any change to contact information.

27. GOVERNING LAW AND DISPUTE RESOLUTION

This Agreement shall be governed by the laws of the State of Idaho, without regard to conflict-of-law principles, to the extent permitted by applicable law.

Any legal proceeding arising out of this Agreement or the Trip shall be brought in an appropriate court located in Ada County, Idaho, except where applicable law requires otherwise.

28. ENTIRE AGREEMENT

This Agreement, together with any written Trip-specific terms expressly incorporated into it, constitutes the agreement between Les Bois and Traveler concerning the matters addressed herein.

Promotional materials, social-media posts, conversations, preliminary itineraries, or informal descriptions do not modify this Agreement unless a modification is confirmed in writing by Les Bois.

29. CHANGES TO THIS AGREEMENT

After a Traveler has accepted this Agreement and paid a deposit, Les Bois will not materially change the Traveler’s payment or cancellation obligations without the Traveler’s agreement except where reasonably necessary to comply with applicable law.

Operational details such as hotel selections, restaurants, wineries, timing, transportation providers, and activities may change in accordance with the itinerary provisions above.

30. SEVERABILITY

If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the extent permitted by law.

31. NO WAIVER

A failure by Les Bois to enforce a provision of this Agreement on one occasion does not constitute a permanent waiver of that provision.

Any exception granted to one Traveler does not require Les Bois to grant the same exception to another Traveler.

32. ELECTRONIC ACCEPTANCE

Electronic acceptance of this Agreement, including acceptance through an online checkout, registration form, electronic signature platform, or other electronic means, is intended to have the same effect as a handwritten signature to the extent permitted by applicable law.

Payment of the Trip deposit may be conditioned upon acknowledgment of this Agreement.

33. TRAVELER ACKNOWLEDGMENT

By signing or electronically accepting below, Traveler acknowledges that:

  1. Traveler has read this Agreement before paying the Trip deposit;

  2. Traveler understands the Trip price and payment schedule;

  3. Traveler understands the cancellation and refund policy;

  4. Traveler understands that specific departure dates are not guaranteed until confirmed by Les Bois;

  5. Traveler understands that itinerary details may reasonably change;

  6. Traveler understands that airfare is not included;

  7. Traveler understands that international travel involves risks;

  8. Traveler has been strongly encouraged to obtain appropriate travel insurance;

  9. Traveler accepts responsibility for required passports and travel documentation; and

  10. Traveler has had an opportunity to ask questions before entering into this Agreement.

Electronic Acceptance

  • I have read and agree to the Traveler Agreement, including the payment, cancellation, and refund terms.

  • I understand that my $777 deposit reserves a place subject to final departure-date and group assignment.

  • I understand that travel insurance is strongly recommended.

  • I understand that I should not purchase nonrefundable airfare until my Trip dates have been confirmed in writing.
